Company law reform: the economic imperative revised

Explores the history of reform initiatives relating to company law in France and the key elements of Law 2001-420, including those on the exercise of powers, limits on directorships, avoiding conflicts of interest, auditors, minority rights and general meetings, company control and enforcing legal duties. Considers the changes introduced under Law 2002-1303 which relieved much of the uncertainty following the 2001 Law and alleviated the position of directors. Discusses further legislative proposals relating to raising capital.
